These Terms govern access to and use of MyWoosah's care infrastructure platform, services, programs, enterprise solutions, and partner ecosystem.

Please Read These Terms Carefully

By accessing or using any MyWoosah product, platform, service, program, or API, you agree to be bound by these Terms of Service. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

Platform Overview

MyWoosah is a care infrastructure and coordination platform that supports families, employers, healthcare organizations, managed care organizations, hospitals, health systems, unions, third-party administrators, employee assistance programs, residential organizations, and other entities through technology, provider management, care coordination, workforce support, and related services.

MyWoosah may provide, without limitation:

Provider matching & management
Care coordination & transitions
Placement support
Workforce solutions
Caregiver support programs
Residential & recovery programs
Enterprise software
Network management
Scheduling & reporting tools
Operational support services
Benefit administration support
Financing integrations
Important Notice

Unless explicitly stated in a separate written agreement, MyWoosah is not the direct employer of independent providers and does not guarantee provider performance, medical outcomes, clinical outcomes, insurance outcomes, or specific results.

Definitions & User Types

These Terms apply to all users accessing or using MyWoosah's platform in any capacity, including but not limited to:

Employees
Care Recipients
Providers
Employers
Brokers
Consultants
TPAs
EAPs
MCOs
Health Plans
Hospitals
Health Systems
Unions
Residential Programs
Government Organizations
Affiliates
Partners

The term "Platform" refers to all MyWoosah technology, products, mobile applications, APIs, portals, tools, and services. The term "User" refers to any individual or entity accessing the Platform.

Account Eligibility

To access and use the MyWoosah Platform, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have legal authority to enter into binding agreements
  • If acting on behalf of an organization, have authority to bind that organization
  • Provide accurate, current, and complete account information at all times
  • Maintain the security and confidentiality of your account credentials
Account Responsibilities

You are responsible for all activity that occurs under your account. MyWoosah may suspend or terminate accounts for fraud, abuse, safety concerns, policy violations, inaccurate information, or for operational, legal, or regulatory reasons, with or without prior notice.

Platform Services & Service Requests

Funding Requirement — Important

For employer-sponsored, benefit-sponsored, union-sponsored, TPA-sponsored, EAP-sponsored, MCO-authorized, and direct-pay programs: care hours, service credits, approved authorizations, vouchers, subsidies, funding allocations, or other approved payment methods must be available and confirmed before a service request can be submitted.

Submitting a service request does not guarantee:

  • Provider availability or acceptance
  • Service approval or fulfillment
  • Specific providers or locations

MyWoosah reserves the right to deny, modify, delay, or cancel service requests based on operational, safety, compliance, funding, geographic, or provider-availability considerations.

Families & Employees

Families and employees accessing MyWoosah services are responsible for:

  • Maintaining accurate account and contact information
  • Ensuring authorized funding is available prior to scheduling services
  • Providing complete and accurate information regarding care recipients, including medical, behavioral, and special needs
  • Complying with all platform safety and conduct requirements
  • Maintaining safe and appropriate service environments
Specialized Care Notice

Requests involving medical needs, developmental disabilities, behavioral support, or other specialized care requirements may require additional screening, eligibility review, or extended provider matching timelines before services begin.

Providers

Providers on the MyWoosah Platform are independent contractors unless explicitly stated otherwise in a separate written agreement. Providers are not employees, agents, or representatives of MyWoosah.

  • Providers must maintain accurate profiles, certifications, and availability information at all times
  • Providers must comply with all applicable laws, licensing requirements, and MyWoosah platform standards
  • Provider matching is subject to availability, geography, program requirements, and credentialing status
  • MyWoosah reserves the right to suspend, remove, or restrict any provider for violations of platform policy
  • Providers are responsible for all applicable taxes on earnings received through the platform

Employers

Enterprise Terms

Employers may purchase care benefits, dependent care programs, backup care programs, care stipends, caregiver support programs, and other workforce-support services through MyWoosah. Employer purchases do not guarantee utilization, provider availability, or specific outcomes.

Employer agreements are governed by their applicable Master Services Agreement or Enterprise Agreement. In the event of conflict between these Terms and an executed Enterprise Agreement, the Enterprise Agreement shall control.

  • Employers are responsible for accurate employee eligibility data and timely updates
  • Employer benefit funding must be available before employee service requests are processed
  • Employers may not resell, redistribute, or sublicense platform access without written approval

Third-Party Administrators (TPAs)

TPAs may use MyWoosah to administer care programs, benefit programs, funding arrangements, reimbursement structures, and care-related initiatives on behalf of their client organizations.

TPAs remain solely responsible for their own regulatory, compliance, and fiduciary obligations unless otherwise agreed in a separate written agreement. MyWoosah acts as a technology and coordination platform and does not assume TPA fiduciary, ERISA, or plan administration obligations unless explicitly stated in writing.

  • TPAs must ensure member eligibility data is current and accurate
  • TPAs are responsible for proper authorization and funding allocation
  • TPA access may be restricted or terminated for material non-compliance

Brokers & Consultants

MyWoosah may engage with brokers, benefits consultants, and advisors to expand access to its platform and programs. Unless otherwise agreed in writing:

  • Broker and consultant relationships are non-exclusive
  • Referral programs, commissions, and arrangements may be modified or terminated at any time
  • Poaching of MyWoosah clients, providers, employer relationships, or proprietary contacts is strictly prohibited
  • Brokers must comply with all applicable state insurance licensing and disclosure requirements
  • Brokers may not represent MyWoosah's platform capabilities beyond what is stated in official materials

MCOs & Health Plans

MyWoosah may support managed care organizations and health plans with care infrastructure, transition management, and operational services including:

  • Care coordination and transitions of care
  • Provider management and network augmentation
  • Placement support and discharge coordination
  • Recovery programs and caregiver engagement
  • Operational workflow support and reporting
Coverage Disclaimer

MyWoosah does not provide insurance coverage, assume plan obligations, or make coverage determinations. MCO partnerships are governed by separate contractual agreements, which shall control in the event of any conflict with these Terms.

Hospitals & Health Systems

MyWoosah may provide operational, logistical, discharge-support, transition-of-care, and caregiver-support services to hospitals and health systems to improve patient outcomes and reduce readmission risk.

Medical Disclaimer — Important

MyWoosah does not provide medical diagnosis, treatment, clinical services, utilization review, clinical decision-making, or emergency healthcare services. Nothing on this platform constitutes medical advice or a substitute for professional clinical judgment. All clinical decisions remain the sole responsibility of licensed healthcare professionals.

Hospital and health system partnerships are governed by separate executed agreements. Those agreements shall control in the event of conflict with these Terms.

Employee Assistance Programs (EAPs)

MyWoosah may support EAP-sponsored dependent care, caregiver support, and workforce wellness programs. Program access and use remains subject to the eligibility requirements established by the sponsoring organization and its EAP administrator.

EAP participants must comply with all program rules established by their sponsoring employer, health plan, or EAP administrator in addition to these Terms. MyWoosah is not responsible for EAP eligibility determinations.

Unions

MyWoosah may participate in union-sponsored programs, workforce benefit programs, welfare funds, training initiatives, caregiver support programs, and dependent care programs.

Eligibility remains subject to applicable fund and program rules as established by the applicable union trust fund, collective bargaining agreement, or program administrator. MyWoosah does not make eligibility determinations for union benefit programs.

Residential Programs

MyWoosah may operate or coordinate residential support programs including, without limitation:

  • Transitional housing and respite programs
  • Recovery PODs and temporary care programs
  • Caregiver support and residential services
  • Post-discharge transition support

Participation in residential programs is subject to program eligibility requirements, safety screening, health assessments, and operational policies. MyWoosah reserves the right to deny or terminate participation at any time for safety, operational, or eligibility reasons.

MyWoosah Care PODs®

MyWoosah may operate or coordinate Care POD programs. Care PODs may include:

Childcare PODs

Shared childcare environments where multiple families receive care services through one or more approved providers.

Adult Care PODs

Shared care environments supporting seniors, adults with disabilities, individuals requiring supervision, companionship, transportation, or assistance with activities of daily living.

Employer-Sponsored PODs

Care POD programs funded or sponsored by employers, TPAs, unions, EAPs, hospitals, health systems, MCOs, or other organizations.

Community PODs

Community-based care programs serving approved populations.

Program Notice

Participation does not guarantee admission, placement, availability, specific providers, specific locations, or specific outcomes. MyWoosah may modify staffing, eligibility requirements, schedules, locations, and participation criteria at any time.

Recovery PODs®

MyWoosah may operate Recovery POD programs designed to support individuals during transitional care periods, including:

  • Hospital discharge and post-acute transition support
  • Placement stabilization and recovery assistance
  • Caregiver support and temporary care solutions
  • Transitional care coordination
Clinical Disclaimer

Recovery PODs are not hospitals, nursing facilities, emergency rooms, or clinical treatment facilities unless explicitly stated in a separate agreement. Recovery PODs do not provide medical treatment, clinical services, or emergency care.

Bring Your Own Provider (BYOP)®

Organizations, employers, MCOs, hospitals, health systems, TPAs, and families may submit existing providers for consideration for inclusion within the MyWoosah platform through the Bring Your Own Provider (BYOP) program.

Provider participation through BYOP remains subject to, and conditional upon:

  • Successful credential verification and license validation
  • Compliance review and regulatory clearance
  • Background screening at MyWoosah's required standard
  • Operational approval and platform onboarding
  • Execution of MyWoosah's standard provider agreement
Sole Discretion

MyWoosah reserves sole and absolute discretion regarding provider approval, rejection, suspension, and removal at any time, for any reason.

Childcare Savings Account®

MyWoosah may offer Childcare Savings Account programs or related savings products designed to support families in planning for and funding care expenses.

Eligibility, funding rules, contribution limits, and program requirements may vary based on employer sponsorship, program design, and applicable law. Program participation does not guarantee future availability of specific services or providers.

  • Program availability may vary by employer and program sponsor
  • Contribution limits and fund usage rules are governed by applicable program terms
  • MyWoosah does not provide tax advice regarding Childcare Savings Account programs

Care Now Pay Later (CNPL)®

MyWoosah may offer access to financing through independent third-party financing providers under the Care Now Pay Later (CNPL) program.

Financing Disclaimer

MyWoosah does not:

  • Issue loans or extend credit
  • Make underwriting or creditworthiness decisions
  • Determine or guarantee financing approval
  • Control financing terms, rates, or repayment schedules
  • Assume liability for third-party financing agreements

All financing agreements are entered directly between the user and the third-party financing provider. MyWoosah is not a party to any financing agreement.

Payments

Payment Authorization

By using MyWoosah, users authorize MyWoosah to collect and process payment from approved payment methods for services rendered. All charges are final unless otherwise expressly stated in a written agreement or refund policy.

Payments may be processed through:

  • Stripe (credit/debit card processing)
  • Employer benefit and TPA-funded programs
  • MCO authorizations and hospital contracts
  • Union programs and EAP-funded programs
  • Government funding mechanisms
  • Other approved and contracted funding sources

MyWoosah reserves the right to modify pricing, fees, and accepted payment methods at any time with notice to users where required by law.

Cancellation Policy

Cancellation Policy — Read Carefully

Standard Service Requests

Service cancellations must occur at least 12 hours before the scheduled service start time. Any cancellation submitted fewer than 12 hours before the scheduled start time will result in a charge equal to 100% of the scheduled service amount.

No-Shows

If a client is unavailable at the scheduled service location or fails to respond to provider arrival attempts within a reasonable time, the service may be considered completed and fully billable at MyWoosah's discretion.

Emergency Exceptions

MyWoosah may waive cancellation charges at its sole discretion for documented emergencies. All waiver requests must be submitted in writing to support@mywoosah.com within 48 hours of the scheduled service time, with supporting documentation.

Enterprise & Program Contracts

Cancellation policies for employer-sponsored, MCO-authorized, TPA-funded, union-sponsored, and hospital-contracted programs may be governed by separate agreement terms.

Provider Matching

MyWoosah facilitates introductions and matching between users and independent providers. Provider matching is subject to multiple factors including:

  • Provider availability and geographic proximity to service location
  • Provider qualifications, certifications, and background check status
  • Program requirements, funding authorization, and eligibility criteria
  • Care recipient needs and special requirements
No Provider Guarantee

No specific provider is guaranteed. MyWoosah makes no representation that a suitable provider will be available for any particular request. Response times may vary based on location, demand, program type, and service category.

Prohibited Activities

The following activities are strictly prohibited on the MyWoosah platform and may result in immediate account suspension, permanent termination, civil legal action, and financial liability:

Harassment
Platform Circumvention
Provider Poaching
Client Poaching
Unauthorized Data Collection
Platform Scraping
Misrepresentation
Safety Violations
Illegal Activity
Reverse Engineering
Unauthorized API Access

Intellectual Property

All intellectual property on or associated with the MyWoosah Platform is owned exclusively by MyWoosah Inc. and its licensors. The following are protected proprietary assets of MyWoosah:

Provider Excellence System®®
MyWoosah Drive®®
Bring Your Own Provider (BYOP)®®

All associated trademarks, software, designs, content, methodologies, processes, documentation, workflows, algorithms, and data models are protected by applicable intellectual property laws.

IP Enforcement Notice

Unauthorized use, reproduction, distribution, reverse engineering, or derivative creation of any MyWoosah intellectual property is strictly prohibited and may result in civil and criminal liability under applicable federal and state law.

Enterprise Agreements

If an organization has executed any of the following with MyWoosah, that agreement shall govern in the event of conflict with these Terms:

Master Services Agreement (MSA)
Statement of Work (SOW)
Enterprise Agreement
Partner Agreement
Custom Contract or Addendum

Enterprise agreements supersede these Terms to the extent of any direct conflict. For questions about your organization's specific agreement, contact legal@mywoosah.com.

Limitation of Liability

Liability Cap — Enterprise Notice

To the maximum extent permitted by applicable law, MyWoosah's total cumulative liability for any and all claims arising out of or related to these Terms or the Platform shall not exceed the greater of: (a) the total fees paid by you to MyWoosah in the twelve (12) months immediately preceding the claim, or (b) Five Hundred Dollars ($500.00 USD).

In no event shall MyWoosah, its officers, directors, employees, agents, partners, or licensors be liable for:

  • Any consequential, incidental, indirect, special, exemplary, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Loss of goodwill, reputation, or anticipated savings
  • Damages resulting from provider performance or non-performance
  • Any clinical, health, medical, or care outcomes
  • Service interruptions, platform unavailability, or data loss
  • Third-party financing decisions, approvals, or terms
  • Events beyond MyWoosah's reasonable control (force majeure)
Force Majeure

MyWoosah shall not be liable for any delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of God, government actions, civil unrest, labor disputes, pandemics, epidemics, power failures, telecommunications failures, or internet disruptions.

Dispute Resolution

Mandatory Arbitration Agreement

Governing Law

These Terms and all disputes arising from or related to them shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved by final and binding arbitration administered in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules.

Class Action Waiver

You expressly and irrevocably waive any right to participate in any class action lawsuit, class-wide arbitration, or any other representative proceeding against MyWoosah.

Jury Trial Waiver

To the maximum extent permitted by law, you waive your right to a jury trial for any dispute arising under or related to these Terms.

Venue

Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Dallas County, Texas.

Before initiating formal dispute proceedings, both parties agree to attempt good-faith negotiation and resolution for a period of no less than thirty (30) days following written notice of the dispute.
